WisdomTree Acquires Ceres Partners to Expand into Custody and Tokenization Markets
cryptocurrency ETF issuer WisdomTree announced that it has completed the acquisition of alternative asset management company Ceres Partners. This transaction will expand its business to exchange-traded products (ETP), custody, and tokenized markets. The acquisition amount includes $275 million in cash paid at the time of the transaction and up to $225 million in profit consideration.
(Note: Profit consideration is a common valuation adjustment mechanism in acquisition transactions. After paying the base price, the buyer can pay additional funds based on specific target company performance indicators. Unlike a wager agreement, profit consideration adjustments focus more on quantifiable objective data, reducing human intervention factors)
